1. Introduction

LFS (LookingForSpace) provides an online platform for connecting law firms and attorneys seeking shared office space. It also serves other professional firms and practitioners whose services complement the legal community.

LFS holds a New York State real estate broker license (#31LE1005803) as required by law for operating a listing platform of this type. This regulatory requirement does not mean LFS acts as a broker or intermediary in any transaction — all negotiations and agreements are conducted directly between the parties.

By accessing or using this Platform, you acknowledge and agree that LFS: (i) does not verify the quality or accuracy of any Listing or Match, the quality of the office spaces offered on any Listing, the legitimacy of users, or the terms of any Match and agreement entered into between users; and (ii) assumes no liability for the outcome of user interactions, negotiations, or agreements.

Modification of Terms: LFS reserves the right to modify these Terms of Service at any time without prior notice. Your continued use of the Platform constitutes acceptance of any modifications.

2. Data Privacy and Security

LFS takes the security and privacy of user data seriously. All user-provided data is stored in secure, enterprise-grade systems. We implement industry-standard security measures, to protect your information from unauthorized access, disclosure, alteration, or destruction.

We do not share or sell user data to any third parties.

LFS complies with all relevant privacy laws including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). In the event of any data breach that compromises user information, we will notify affected users in accordance with applicable law.

3. Definitions

  • Listing: Any advertisement of available office space or space wanted posted on the Platform
  • LFS: Principals Only, Inc. d/b/a LookingForSpace.com
  • Match: A successful transaction where two users enter into a rental agreement facilitated through LookingForSpace.com, evidenced by either party's written confirmation of the agreement or the commencement of occupancy
  • Platform: The LookingForSpace.com website and all associated services
  • Services: The listing, search, and connection facilities provided by LookingForSpace.com
  • Subscription Period: The duration for which a user has paid for Services

4. Listing Options

  • Available Office Listings: Subscribers may choose to hide their contact information and/or building address. When contact information is hidden, inquiries are relayed through the Platform.
  • Offices Wanted Listings: Offices Wanted listings are anonymous by default. Advertiser contact information is revealed only when the advertiser responds to an inquiry.

5. Platform Use & Disclaimer

Independence of User Choices: Subscribers acknowledge that respondents to their Listing(s) may respond to multiple other listings simultaneously. LFS has no influence over respondents' choices and holds no liability for any resulting decision, non-selection, or transaction outcomes.

Employment Disclaimer: LFS does not employ or act as an agent for any brokers, real estate professionals, or service providers listed on the Platform. Users acknowledge that any third-party relationships formed through the Platform are solely independent agreements between the parties involved.

6. Payment Terms

Subscription and Renewal

All listings on the Platform require a monthly subscription fee of $25, billed in advance and renewed automatically each month until cancelled by the user. Users may cancel at any time through their account settings. An unintended renewal cancelled within the first forty-eight (48) hours is fully refundable. Subscribers may request an automatic subscription refund within their dashboard if they do not believe they have made meaningful progress on the Platform by the end of their third month. Refunds outside this window are provided solely under the Platform's Satisfaction Guarantee.

Money-Back Subscription Satisfaction Guarantee

This guarantee applies to all paid subscriptions on the Platform, including Available Office listings and Offices Wanted listings.

Subscribers who feel, in their sole discretion, that the Platform did not deliver meaningful connections may request a refund of one, two, or three months' subscription fees ($25/month), up to the total amount paid to date. This guarantee applies during the first three months of an active subscription.

Refunds under this guarantee are:

  • Initiated by the Subscriber through their account dashboard
  • Processed automatically upon request
  • Granted without requiring explanation or justification

Success Fees are not subject to the Satisfaction Guarantee, as they apply only after a completed transaction between the parties. See "Good Faith Dispute Resolution" for Success Fee disputes.

Payment Terms for Available Office Listings

Subscribers posting Available Office listings agree that subscription fees are billed monthly in advance. Refunds, where applicable, are provided solely under the Platform's Satisfaction Guarantee. LookingForSpace is a principals-only network — you'll receive fewer inquiries than a high-volume listing site, but each response comes from a real attorney or firm actively seeking space.

For any rental agreement resulting from a Match facilitated through the Platform, the subscriber agrees to pay a Success Fee equal to 10% of the first full year's rent, invoiced upon execution of the rental agreement. The success fee applies only if the Platform introduces the subtenant who signs the agreement. No fee applies when the tenant originates outside the Platform. Success Fees are separate from subscription charges and may be paid by credit card, ACH, or check. Subscribers also agree to notify LFS promptly upon reaching a Match, including the essential terms necessary to issue a Success Fee invoice, such as the agreed rent and lease term.

Good Faith Dispute Resolution

If a Subscriber believes in good faith that a Success Fee does not apply — for example, because the subtenant relationship originated independently of the Platform — the Subscriber may submit a written dispute within fifteen (15) days of invoice, stating the specific factual basis for the claim.

LFS will honor reasonable disputes made in good faith. LFS reserves the right to request supporting documentation. This provision may be exercised once per account. A dispute later found to be fraudulent or materially misleading does not extinguish the underlying fee obligation.

Note: As of December 20, 2025, this provision has never been exercised.

Payment Terms for Offices Wanted Listings

Users who post Offices Wanted listings agree to pay the monthly subscription fee to publish and maintain an Offices Wanted listing. Offices Wanted listings are not subject to any Success Fee. Responding to Available Office listings is free for all users.

Billing and Payment Methods

Users authorize the Platform to charge the subscription fee to the payment method they provide. The payment information supplied at enrollment is used solely for the recurring $25 subscription. If a Success Fee becomes due, it will be billed separately, and the user may choose their preferred method of payment at that time, including credit card, ACH, or check.

7. Term and Termination

LFS reserves the right to immediately terminate or suspend any user account for violations of these Terms of Service, without prior notice. Users may request account deletion at any time by contacting customer support. Upon account termination:

  • All active Listing(s) will be removed
  • Access to the Platform will be revoked
  • Services will be suspended
  • User data will be deleted, except for anonymized transaction data which we retain for analytical purposes
  • Any outstanding payments will become immediately due

Platform Right to Cancel: LFS reserves the right to cancel any Listing and terminate any account, with or without notice, for any of the following:

  1. Breach of these Terms of Service
  2. Material misrepresentation or false statements in any Listing or account information
  3. Fraudulent, deceptive, or misleading conduct
  4. Content that is defamatory, discriminatory, harassing, or otherwise harmful to other users or third parties
  5. Conduct that, in LFS's reasonable judgment, is detrimental to the integrity or reputation of the Platform
  6. Violation of any applicable law or regulation

If LFS cancels a Listing under this provision, the Subscriber will receive a prorated refund of subscription fees for the unused portion of the then-current billing cycle. This provision does not limit any other remedies available to LFS at law or in equity.

8. Service Level Agreement

Technical support is available 9am-6pm ET via phone and email. We strive to respond to support requests within 3 business hours.

9. Dispute Resolution

Any disputes arising from your use of this Platform shall be resolved exclusively through binding arbitration. The arbitration shall be conducted in New York, NY, under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties. Each party shall bear its own costs of arbitration, including attorney's fees, unless otherwise awarded by the arbitrator.

10. Liability & Indemnification

Liability

LFS provides the Platform "as is" and disclaims all warranties, express or implied. In no event shall LFS be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising from:

  1. Use or inability to use the Platform
  2. User interactions on the Platform
  3. Any transaction conducted through or originated on the Platform
  4. Unauthorized access to or alteration of user data
  5. Statements of, conduct of, or interactions with any third party on the Platform
  6. Any other matter relating to the Platform

The total liability of LFS for any claim arising from or relating to these Terms of Service or use of the Platform shall not exceed the amount paid by the user to LFS in the twelve months preceding the incident giving rise to the claim.

Indemnification

Users agree to indemnify, defend, and hold harmless LFS, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  1. User-generated content or listings
  2. Disputes with other users relating to a Match or otherwise
  3. Violations of these Terms of Service
  4. Misuse of the Platform or Services
  5. Any transaction or agreement entered into through the Platform

The indemnifying party shall have the right to control the defense and settlement of any claim, provided that no settlement affecting LFS shall be made without LFS's written consent. LFS reserves the right to participate in any action or proceeding, at its own expense.
